Acting for a Buyer

If you are looking to buy the assets of a company that is going into administration then our insolvency specialists are extremely experienced in acting for buyers in these situations.

Before a company is placed into administration a buyer may be found to buy the company through a pre pack administration. Often the buyer is an existing management team although the buyer can be a third party. The buyer and the proposed administrator agree the terms and price to be paid before the Administrator is appointed.

Pre-pack Administration

This method is becoming extremely popular and is called a Pre -pack administration. It gives the buyer the ability to purchase the parts that are viable and create a new company.

The debts and existing liabilities usually remain in the old company, although the employee liabilities are often transferred to the new Company and we are able to guide purchasers on this issue. Our insolvency specialists can assist you in creating a new company and dealing with the problems of the company left behind, including any claims made against the former directors.

How we can help

The procedure for a ‘pre-pack’ administration is highly regulated and controlled and the need for an expert at an early stage is crucial.  A pre pack administration can resolves issues without the need to be forced into liquidation by creditors. Our expert insolvency solicitors can help you with a pre pack to protect the assets and employees of your company.
