First Changes To UK Company Law Expected On 4 March

There are new rules coming in about Companies House requirements. The intention is that these will have effect from 4 March 2024 (but this could be delayed). These are the first set of changes – more are coming.

Some of the more eye-catching requirements in this first set of changes are:

🔸 Companies must have an ‘appropriate address’ as their registered office – PO Box addresses will no longer be allowed. Existing companies which use a PO Box registered office address should change it before these new requirements come into effect.

🔸 For the first time companies must have a registered email address (although this will not be published on the public register).

🔸 For companies incorporated after the go-live date, the original shareholders will be required to confirm that the company has been formed for a ‘lawful purpose’ and that its intended future activities are lawful.
